1. Acceptance of these terms
By accessing or using the Foundations Direct Care website (the "Site"), including any member-only section at /members/, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site. Your continued use after any update constitutes acceptance of the updated Terms.
2. What this Site is
The Site is published by Foundations Direct Care (located in Oklahoma City, Oklahoma) to describe our Direct Primary Care practice and to provide members with administrative and educational content. The Site includes:
- A public marketing area describing the practice, our plan, partners, and frequently asked questions.
- A knowledge base aggregating patient-education content from the U.S. National Library of Medicine (MedlinePlus).
- A members-only portal at
/members/with a full rate card, wholesale prescription pricing, supplement dispensary, cohort program enrollment, and community-event information.
Your medical records — clinical notes, labs, messages with your physician, and prescriptions — are maintained in a separate HIPAA-covered system (currently Elation) that is not part of this Site. The Notice of Privacy Practices provided at your first visit governs those records.
3. No medical advice; no doctor-patient relationship
Content on the Site is for general information and education. It is not medical advice, diagnosis, or treatment, and using the Site does not create a doctor-patient relationship between you and Dr. Emily McLaurin or Foundations Direct Care. A doctor-patient relationship is established only by formally enrolling as a member of the practice and meeting with Dr. McLaurin.
Always seek the advice of a licensed physician with any questions you may have about a medical condition. Never disregard professional medical advice or delay seeking it because of something you read on this Site. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room.
4. Eligibility for the member portal
The member portal at /members/ is restricted to current members of Foundations Direct Care. Access is granted by invitation from our staff and authenticated via Microsoft or Google identity providers. You may not share your invitation or your access with any person who is not an invited member. We may revoke access at any time, with or without notice, if:
- You are no longer an active Foundations member.
- We reasonably believe your access has been shared or compromised.
- You violate these Terms.
5. User conduct and your account
You agree to use the Site lawfully and respectfully. You agree not to:
- Attempt to gain unauthorized access to any portion of the Site, including member or admin sections you have not been invited to.
- Scrape, harvest, or mass-download Site content for commercial or competitive purposes.
- Interfere with Site security measures (including authentication, rate limits, or access controls).
- Upload or transmit malware, phishing content, or material that is unlawful, defamatory, harassing, or infringes the rights of others.
- Represent yourself as another person or provide false identifying information during enrollment or sign-in.
You are responsible for keeping your Microsoft or Google account secure. We never ask for your password; if anyone claiming to represent Foundations asks for it, do not provide it and report it to us.
6. Intellectual property
All Foundations-authored content on the Site — including the text, page layouts, color palette, photography of our team and facility, videos, and the "Foundations Direct Care" name and logo — is owned by Foundations Direct Care or licensed to us and is protected by U.S. copyright and trademark law. You may view and print a copy of any page for your personal, non-commercial use. Any other use, including reproduction, redistribution, or creation of derivative works, requires our prior written permission.
7. Third-party content and links
Parts of the Site incorporate or link to content maintained by third parties. In particular:
- The Knowledge Base displays patient-education content served live by the U.S. National Library of Medicine (MedlinePlus). NLM's content is authoritative but general; it is not personalized to you.
- The Partners page links to independent Oklahoma City wellness providers. These partners are not controlled by Foundations. Discounts mentioned for "Foundations members" are offered at each partner's discretion.
- Links to external websites (e.g., Microsoft, Google, Cost Plus Drugs, Mending Healthcare) are provided for convenience. We do not endorse or take responsibility for their content, terms, or privacy practices.
8. Disclaimers
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDATIONS DIRECT CARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT WILL BE ACCURATE OR COMPLETE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FOUNDATIONS DIRECT CARE, ITS OWNERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SITE IS LIMITED TO ONE HUNDRED U.S. DOLLARS ($100).
Nothing in these Terms limits liability that cannot be limited under applicable law. This clause does not limit liability for medical care provided by Dr. McLaurin in the clinical setting — that is governed separately by the professional standard of care, our membership agreement, and applicable licensing laws.
10. Indemnification
You agree to indemnify and hold harmless Foundations Direct Care from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Site. We reserve the right to assume the defense of any matter subject to indemnification, at your expense, and you agree to cooperate with our defense.
11. Termination
We may suspend or terminate your access to the Site (including the member portal) at any time, with or without cause, with or without notice. Sections of these Terms that by their nature should survive termination — including sections 6, 8, 9, 10, and 12 — will survive.
12. Governing law and disputes
These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-law principles. Any action arising out of or relating to these Terms or the Site will be filed exclusively in the state or federal courts located in Oklahoma County, Oklahoma, and you consent to personal jurisdiction in those courts.
13. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top and, if the change is material, we will notify active members via the member portal or email. Your continued use of the Site after any change indicates acceptance of the updated Terms.
